TERMS AND CONDITIONS FOR TYPLESS SERVICE
The General Terms and Conditions of Use of Typless (hereinafter referred to as the “General Terms and Conditions”) govern the relationship between the copyright owner and provider of Typless, on the one hand, and the Subscriber, on the other hand.
By using the Typless Service (“Service” or “Typless” or “Programme”), you agree to the Terms and Conditions contained herein (“Terms”). If you do not agree to these Terms, you are not authorised to access and use the Service. In such a case, we kindly ask you to cease doing so immediately.
Before using this website and the Service, carefully read these Terms.
Algoritmik Ltd. (“Algoritmik”) is the exclusive owner and operator of the website www.typless.com and the Typless Service.
For the purposes of these Terms and Conditions, the following terms shall have the following meanings, unless otherwise expressly agreed:
“Customer” means the legal entity using the Software provided by Algoritmik. Only legal persons may be Subscribers
“Users” are natural persons of the Subscriber who use the Program and have their own access data to the Program;
“End User” is a person or other entity that consumes or makes use of the goods or services produced by businesses. In this way, an end user may differ from a Customer—since the entity or person that buys a product or service may not be the one who actually uses it.
“Contract Processor” processes personal data on behalf and for the account of the Data Controller;
“Contract Sub-processor” means a legal or natural person to whom the Contract Processor entrusts certain tasks in the field of processing personal data;
“Processed Document” means any file that has been uploaded to the Software and has been processed;
“Subscribers’ Personal Data” means any personal data of Subscribers or their Users that may potentially be included among the transmitted invoices within the meaning of the Personal Data Protection Act and the GDPR as applicable from time to time;
“Subscriber Data” means documents uploaded by Subscribers to the Software;
“Updates” means changes to the Software that alter the user interface (e.g. changes to the order of buttons),
“Intellectual Property Rights” means all intellectual property rights, anywhere in the world, whether registered or unregistered, including the application or right to apply for such rights (for example, copyright and related rights, other rights in software, patents, trade secrets, know-how, trade names, utility patents, trademarks, designs, confidential information, etc.);
“Program” or “Typless Service” or “Typless” or “Service” means the computer program for automatic identification of Typless accounts developed by Algoritmik and operated by Algoritmik.
“Force Majeure” means an event or sequence of events beyond the reasonable control of the Customer, including failure of the Internet or public telecommunications network, failure or malfunction of equipment or third parties providing servers to Algoritmik, viruses, hacker or other malware attacks or infections, theft of data (including Customer Data), power failures, natural disasters, fires, terrorist attacks, wars, etc.;
1. THE SERVICE
Typless is a software program for the automatic reading and recognition of PDF and bitmap invoice data, developed and provided by Algoritmik, Ltd. The software uses machine learning methods, artificial intelligence and sophisticated algorithms to extract and classify the correct invoice data. The software has an integrated learning capability, which allows the system to become more accurate and “learn” on an ongoing basis for recurring invoices.
On average, it returns read data from documents in a few seconds to a few minutes, depending on the file size, the invoice page, the number of items, etc. The program is not always 100% accurate.
Recognition accuracy increases with use as the system learns, but is also highly dependent on the quality of the scan/image of the file sent.
SUPPORTED FILE FORMATS
Supported file formats that can be sent to the Program are PDF, JPG, BMP, PNG, TIFF (compression: Free, tiff_ccit, group3, group4, tiff_jpeg, tiff_adobe_deflate, tiff_thunderscan, tiff_deflate, tiff_sgilog, tiff_sgilog24, tiff_raw_16)
INPUT DATA QUALITY AND LIMITATIONS
The recommended pixel density for scanned invoices is 300 DPI. The maximum allowed pixel density per image processed by the Software is 600 DPI in A4 format, which means 4960×7016 pixels. The limit refers to the image of the scanned pages after they have been read from the PDF file, and in the case of bitmap formats to the image itself.
If the limit is exceeded, the file shall not be processed. The maximum file size is 30 MB. The document must be portrait oriented.
The quality of the output data is proportional to the quality of the input data. It depends on:
- rotation of the image,
- creasing of the scanned paper,
- overwriting the data with a pen, marker, etc.
The software does not support handwritten invoices. Files that are locked or encrypted in any way, damaged or corrupted are not opened and therefore not recognised by the programme. Multiple invoices must be uploaded in a single PDF or TIF file.
Only one invoice can be in a single file, except in the case of the use of a specially ordered ‘delimiter’ (stamp), which can be ordered via our email address firstname.lastname@example.org.
In the case of the use of a delimiter, the document must be uploaded in a PDF format.
- The following data is identified in the metadata recognition process:
- The tax number of the invoice issuer
- Tax identification number of the invoice recipient
- Invoice issue date
- Date of commencement of the service
- Due date
- Invoice number
- Net amount
- Gross amount
- The total amount of tax
- Amount of tax at reduced tax rate (9,5 %)
- The base of the reduced tax rate
- The gross amount of reduced tax rate
- Amount of tax at the normal tax rate (22 %)
- Normal tax rate base
- The gross amount of the normal tax rate
- Net amount exempt from tax
In the case of using an ERP program which does not support import or which does not parse all the above data, the individual fields may be reduced accordingly.
In the case of the selection of an itemised package, additionally:
The programme is executed on the processing capacity of the servers of Algoritmik’s Contract Processor. By using the Program, the Customer agrees that the Contract Processor for the use of the Program is Algoritmik, which further has Contract Subprocessors. The servers on which the Program is executed are located in the EU.
VERIFICATION AND COMPLETION OF DOCUMENTS
Algoritmik does not offer a service for the verification of processed documents and for supplementing/editing of data read from a document under the Programme.
ERROR HANDLING AND SUPPORT
Algoritmik will provide support services to Customers in accordance with this clause during the term of the Contract or Subscription. Support Services are charged to assist in resolving errors and problems experienced by Subscribers.
Algoritmik will provide Support Services in accordance with the necessary knowledge and expertise.
Algoritmik shall provide the Support Services:
- General support during weekdays between 8:00 and 16:00.
- The price for general support is charged on a monthly basis, based on the number of hours of support provided. The price per hour of support is 90€ + VAT.
- Algoritmik charges for support in 15-minute intervals.
- Support can be provided remotely or physically on-site. In the case of on-site support, travel costs shall be charged in addition to the hourly rate.
Algoritmik regularly performs Program Updates to ensure that improvements are made and any deficiencies are corrected.
Customers must use the latest version of the Software to perform support. Users are responsible for ensuring that their technological equipment, such as computing devices, scanners, etc., is functioning properly.
If support is required due to a non-functioning of the Software on the part of Algoritmik, the support service shall be at no charge.
The Programme’s faults do not include misrecognised data, as Algoritmik does not guarantee 100% data recognition.
2. ACCOUNT AND ACCOUNT INFORMATION
For using the Service, you need to register on the website https://app.typless.com and create an account.
By creating an account on our website, you shall provide us with accurate, complete and up-to-date information. You are fully responsible for the provided information. In case of any changes to the provided information at registration, you shall update the information so that your information is always accurate, complete and up-to-date.
If you do not comply with the abovementioned, Algoritmik reserves the right to terminate your Subscription (as provided below) and delete your account.
3. PAYMENT AND PLANS FOR USING THE SERVICE
SUBSCRIPTION AND PLANS
The usage of the Service is charged on a subscription basis (“Subscription“). Algoritmik offers the following subscription plans (“Plan”):
Pay-as-you-go Plan: no volume commitment necessary, payment per extracted page;
Enterprise Plan: Minimum consumption commitment;

PAYMENT – DIRECT BANK TRANSFER
Invoices are issued periodically on a monthly basis. Consumption billing starts upon activation of the subscription or on the first day after the free trial expires and ends on the last day of the month. Thereafter, the billing of consumption always coincides with the calendar month (always starting on the first day of the month and ending on the last day).
The invoice for the use of the Programme will be issued on the last day of the current month or on the first day of the new month.
The Customer shall pay for the use of the Software upon receipt of an invoice from Algoritmik. The invoice must be paid no later than the 20th of the current month for the previous month. In the event of non-payment, Algoritmik shall have the right to disable the Customer’s access to the Program and claim the amount due.
At the end of each payment cycle, we will automatically renew your subscription on the same terms as before, unless you change packages before the end of the payment cycle or Algoritmik terminates or changes your chosen package to another.
In the event that you wish to terminate a Package, you must notify us in writing by email to firstname.lastname@example.org or by physical mail to our address. The cancellation period is 2 months from the first day of the month following the day on which you have notified us that you wish to terminate your subscription.
The subscription fee is payable by bank transfer to Algoritmik’s TRR.
In order for invoicing to run smoothly, you must provide Algoritmik with the following information:
- FULL COMPANY NAME
- COMPANY ADDRESS, including city, postcode and country
- YOUR COMPANY’S VAT ID
- PHONE NUMBER (optional) or E-MAIL ADDRESS of the contact person
- EMAIL ADDRESS for sending invoices.
By providing the above information to Algoritmik, you warrant its accuracy and authenticity and authorize Algoritmik to invoice you for all subscription fees and any additional charges incurred in using the Service.
If you believe that your use of the Service is not being billed appropriately for any reason, please contact us at email@example.com.
Subscription fees paid will not be refunded under any circumstances unless expressly provided for in applicable law.
PAYMENT – VIA THE STRIPE SERVICE
Invoices are issued periodically on a monthly basis. Consumption billing starts when the subscription is activated and ends after 1 month of subscription. Your funds will be debited from your account at the end of each monthly period.
At the end of each billing cycle, we will automatically renew your subscription on the same terms as before, unless you terminate your subscription or change packages before the end of the billing cycle or Algoritmik terminates or changes your selected package to another. If you or Algoritmik terminate or change your subscription before the end of the payment cycle, the current subscription will be debited at the time of the change. Subscriptions can be terminated via the Online Account Management API Portal:
- If you or Algoritmik terminate or modify a Subscription before the end of the Payment Cycle, funds for the current Subscription will be deducted upon modification.
- If, at the time of the change, the usage up to the time of the change of the existing package is charged to the current Subscription
Subscription Fee, the Subscription Fee shall be paid with a valid credit card. You must provide Algoritmik with the following information for the invoicing to run smoothly:
- YOUR FULL COMPANY NAME
- COMPANY ADDRESS, including city, postal code and country
- YOUR COMPANY’S VAT ID
- PHONE NUMBER (optional) or E-MAIL ADDRESS of the contact person
- CREDIT CARD NUMBER
Algoritmik accepts the following cards:
As a user of this Service, you warrant that:
- You are 18 years of age or older.
- That you have the proper authority to validly accept these Terms and are able to and will comply with your obligations under these Terms.
- That the credit card used in connection with the Service is issued in your name or you are authorized to use the credit card.
- That you will pay the credit card issuer for any charges incurred by you in using the Service.
- That the information you have provided is true and correct.
At the end of the billing period, your credit card will be debited in EUR. All payments will be credited to Algoritmik.
Credit card payments are secure:
- All payments will be processed directly by Stripe Billing using Secure Socket Layer (SSL) technology. Credit card numbers are protected by a high level of encryption when transmitted over the Internet.
- Algoritmik does not store your credit card details in any way.
- In the event of a successful payment, you will receive a confirmation notification that the payment has been made.
- If your payment is unsuccessful, you will be notified of the unsuccessful transaction. The algorithm will not be told why the payment failed, so please contact your credit card provider for details.
If your payment is unsuccessful, please use one of the other payment methods to pay your bill. To ensure uninterrupted use of Algoritmik’s services and Internet resources, please arrange an alternative payment method immediately. After the first unsuccessful attempt, Algoritmik will make four attempts to deduct funds within the next 8 days after the invoice is issued. After that, Algorithmik will terminate and block access to the Service.
Algoritmik will confirm your payment details by email. Each transaction is subject to the specific terms and conditions in force at the time of the transaction. If you have any questions or concerns, please contact support by email at firstname.lastname@example.org.
Important security note: Never send credit card details by email.
CHANGES TO SUBSCRIPTION AND PLANS
Algoritmik hereby reserves the right to change the terms of Subscription, Plans, or cancel individual Plans at any time and without prior notice. Algoritmik will inform you about the change 30 days before the change becomes effective and binding. If you continue to use the Service after the change has become effective and binding, you agree to such change and become bound by the new terms.
Free Trial, which may include time or volume limitations, may be offered by Algoritmik, the content and terms of which Algoritmik may change at its own discretion.
You are not required to provide your billing details to use the free trial. If you have entered your billing information, Algoritmik will not charge you for use until the free trial expires. After that, you will automatically be charged the applicable subscription fee for the package you selected at the start of the free trial.
Algoritmik hereby reserves the right to change the terms of the usage of the Free Trial or cancel the offer of the Free Trial at any time and without prior notice.
By creating an account on our website and using the Service you hereby guarantee that you will:
- only lawfully use the Service,
- only use the Service for lawful purposes,
- not reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service;
- not upload or store material that violates any intellectual property right (including, but not limited to, trademark, copyright, patent, or trade secret) of Algoritmik or a third party;
- not violate the privacy, publicity, or other personal rights of others;
- cause technical disturbances to the Service, including, but not limited to, the introduction of viruses, worms, or other destructive or malicious mechanisms;
- not violate or attempt to violate the security of the Service and its integrity.
You acknowledge that Algoritmik uses third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and other technology required to operate the Service.
You are responsible for safeguarding the password or API key or any other access method that you use to access the Service and for any activities or actions under your password. You shall notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.
Algoritmik hereby reserves the right to terminate your Subscription, delete your account and hold you liable for any and all of the damage caused to Algoritmik, its affiliates, employees, contractors, and directors in case of violation of the abovementioned guarantees.
5. INTELLECTUAL PROPERTY RIGHTS
You hereby agree and acknowledge that Algoritmik has authorised your usage of the Service, whereby Algoritmik retains full ownership or proprietorship of all rights, titles and interests to the Service, the Service design, technology behind the Service and documentation related to the Service, and all intellectual property rights pertaining to the Service and its technology (including, but not limited to, all patent rights, design rights, copyrights, model rights and trade secrets).
By accessing this website and using the Service, you agree not to:
- copy, amend, change, or reverse engineer the Service hardware, software, or design;
- sell, license, lease, or transfer the Service to any third party or allow any third party to use the Service.
Algoritmik hereby grants you permission to offer the Service integrated into your products or services to your clients. Should you have any inquiries related to such permitted usage, please contact us at our email email@example.com for a more detailed explanation.
Furthermore, you hereby agree and acknowledge that Algoritmik shall become the owner and proprietor of all rights, titles and interests, including, but not limited to, all related intellectual property rights, for suggestions, comments, ideas, enhancement or update requests, feedback, recommendations, or other information provided by you or any other party related to the Service.
You hereby grant Algoritmik the right to use your company name and company logo in marketing, sales, financial, and public relations materials and other communications to identify you as Algoritmik’s customer. Mutatis mutandis, Algoritmik hereby grants you the right to use Algoritmik’s product name Typless and Typless logo to identify Algoritmik as a provider of the Service to you.
You hereby acknowledge and agree to hold harmless, indemnify and defend Algoritmik and its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns, from and against any and all claims, liabilities, damages, obligations, losses, judgments, awards, costs or debt, and expenses of any kind (including but not limited to attorney’s fees, court and notary fees), resulting from or arising out of
- your or any of your end-users breach of these Terms;
- your or your end-users use and access the Service or any activities under these Terms.
7. LIMITATION OF LIABILITY AND DISCLAIMER
In no event shall Algoritmik, nor its officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns, be liable for any direct, indirect, incidental, special, consequential or punitive damages, including but not limited to, any loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- your access to or use of or inability to access or use the Service;
- any conduct or content of any third party on the Service;
- any content obtained from the Service; and
- unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not Algoritmik has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
You acknowledge that you use the Service at your sole risk and your sole discretion. The Service is provided on an “as is” and “as available” basis. The Service is provided without warranties of any kind, whether expressed or implied, including, but not limited to, implied warranties of merchantability, access, accuracy, fitness for a particular purpose, non-infringement, or course of performance.
Algoritmik, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns do not warrant that:
- the Service will be available 24/7,
- the Service will be available at any particular time or location;
- the Service will operate without malfunctions and securely;
- any errors or defects will be corrected;
- the Service is free of viruses or other harmful components; or
- the results of using the Service will meet your requirements.
Algoritmik does not make any representation and warranty of any kind in any form, with respect to the correctness of captured data and/or the level of precision or accuracy. Furthermore, Algoritmik does not warrant and is not in any way liable due to the unavailability or disruption of the Service.
Nevertheless, Algoritmik will never be liable to you or any other person for any loss or damage (including, but not limited to any direct or indirect, incidental, consequential, punitive or exemplary loss or damage) arising out or in connection with your usage of the Service, these Terms, its content and its validity or otherwise, including, but not limited to, personal injury, loss of data, business, markets, savings, income, profits, use, production or goodwill, anticipated or otherwise, or economic loss, under any theory of liability (whether in contract, tort, strict liability or any other theory or law), regardless of any negligence or other fault or wrongdoing (including but not limited to gross negligence and fundamental breach) by Algoritmik or any person for whom Algoritmik is responsible, and even if Algoritmik has been advised of the possibility of such loss or damage being incurred.
8. TERMINATION OR CANCELLATION OF THE USER ACCOUNT
Algoritmik hereby reserves the right to terminate or suspend your account, without prior notice or Algoritmik’s liability, for any reason whatsoever. Once your account is terminated or suspended, you will not be able to use the Service.
If you wish to terminate your account, please contact us using our email firstname.lastname@example.org.
All the provisions contained in this Terms survive the termination, including, but not limited to, the provision on the ownership rights, indemnification, limitation of liability, and guarantees.
9. GOVERNING LAW AND JURISDICTION
These Terms shall be governed and construed in accordance with the laws of Slovenia, without regard to its conflict of law provisions.
All the disputes arising out or in connection with your usage of the Service or these Terms shall be settled amicably. If the amicable solution is not achieved, the competent court shall be the court in Ljubljana.
10. WAIVER OF RIGHTS
Our failure to enforce any right or provision of these Terms will in no way be considered a waiver of those rights or provisions.
11. CHANGES AND UPDATES
Algoritmik as the sole owner and proprietor of Typless and the Service hereby reserves the right to modify these Terms from time to time without prior notice. The updated Terms become effective when posted on this website.
It is your responsibility to review these Terms regularly. Your continued usage of the Service shall be considered as your consent to the updated Terms.
12. FINAL PROVISIONS
If any provision of these Terms and Conditions is found by a court or other competent authority to be invalid or unenforceable, the remaining provisions of these Terms and Conditions shall remain in full force and effect.
These Terms constitute the entire agreement between Algoritmik and the Customer in relation to our Service.
In the General Terms, words in the singular shall have the same meaning as words in the plural and vice versa, in the same way that words expressed in the masculine gender shall have the same meaning as words expressed in the feminine or neuter gender and vice versa.
