By accessing our website www.typless.com and using the Typless service (“Service” or “Typless”), you agree to the terms and conditions contained herein (“Terms”). If you do not agree to these Terms, you are not authorized to access this website and use the Service. In such a case, we kindly ask you to cease doing so immediately.

Algoritmik Ltd. (“Algoritmik”) is the exclusive owner and operator of the website www.typless.com and the Service.

1. The service

Typless is an automated invoice data extraction service, developed and provided to you by Algoritmik.

2. Account and account information

For using the Service, you need to register on the website www.typless.com and create an account.

Če ne upoštevate zgoraj navedenega, si Algoritmik pridržuje pravico, da prekine vašo naročnino (kot je določeno spodaj) in izbriše vaš račun.

3. Payment and packages for using the service

Subscription and packages

The usage of the Service is charged on a subscription basis (“Subscription“). Algoritmik offers the following subscription packages (“Package”):

Pay-as-you-go package: no volume commitment necessary, payment per extracted document;

Enterprise package: minimum volume commitments.

Payment

Invoices will be issued to you on a recurring basis (“Payment Cycle“). Payment Cycles are set on a monthly basis and start when the user orders the subscription and end after 1 month of the subscription. Your funds will be deducted from you after the end of the Payment Cycle.

At the end of each Payment Cycle, we will automatically renew your Subscription under the same conditions as was before unless you terminate the Subscription before the end of the Payment Cycle or Algoritmik terminates or changes your chosen Package to a different one. If you or Algoritmik terminates or changes the Subscription before the end of the Payment Cycle, funds for the current Subscription will be deducted at the time of the change. Subscription may be terminated through the online account management API portal.

The Subscription shall be paid using a valid credit card. For enabling a smooth invoicing, you shall provide Algoritmik the following information:

Full name of the company

Company’s address, including city, zip code and country

Tax number

Telephone number (optional) or the email address of the contacting person

Credit card information

By providing the abovementioned information to Algoritmik, you guarantee their accuracy and authenticity and permit Algoritmik to automatically invoice all Subscription fees and any additional charges incurred using the Service.

If for any reason, the usage of the Service is not adequately charged to your account, Algoritmik shall inform you about the payment failure.

In no case will paid Subscription fees be refunded, unless expressly provided in the applicable law.

You warrant that:

You are 18 years of age or over.

You have the appropriate authority to validly accept these Terms and are able to and will meet your obligations in relation to these Terms.

The credit card used in connection with the Services is issued in your name or you are authorized to use the credit card.

You will pay the credit card issuer all charges incurred in the use of the Services. The information supplied by you is true and correct.

At the end of the billing period, funds will be deducted from your credit card in EUR currency. All payments are debited to Algoritmik. Credit card payments are secure:

Payments will be processed directly by Stripe Billing using Secure Socket Layer (SSL) technology. Credit card numbers are protected with a high level of encryption when transmitted over the Internet.

Algoritmik does not store in any way your credit card details.

Confirmation: If successful, you will receive a confirmation notice of your completed payment.

If unsuccessful, you will be informed that your payment has failed. Algoritmik will not be advised why a payment has failed; therefore, you should contact your credit card provider for details.

If your payment fails, please use one of the other payment methods to pay your invoice. Please arrange an alternative payment method promptly to ensure continuous use of Algoritmik services and Internet resources. Algoritmik will try to deduct funds 4 times after the first failed attempt in the next 4 weeks after the invoice was issued. After that, Algoritmik will suspend and block access to the Service.

Algoritmik will confirm your payment details via email. Each transaction shall be subject to the specific Terms and Conditions that were in place at the time of the transaction. If you have any questions or concerns, please contact support by email at support@typless.com Important security note: Never transmit credit card information by e-mail.

Changes to Subscription and Packages

Algoritmik hereby reserves the right to change the terms of Subscription, Packages, or cancel individual Packages at any time and without prior notice. Algoritmik will inform you about the change 30 days before the change becomes effective and binding. If you continue to use the Service after the change has become effective and binding, you agree to such change and become bound by the new terms.

Free Package

Free Package, which may include time or volume limitations, may be offered by Algoritmik, the content and terms of which Algoritmik may change at its own discretion.

Providing billing information may be required to use the Free Package. By entering the billing information when signing up for a Free Package, Algoritmik will not charge you for the usage until the Free Trial has expired. Nevertheless, upon expiration of the Free Trial, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected for your Free Package.

Algoritmik hereby reserves the right to change the terms of the usage of Free Package or cancel the offer of Free Trial at any time and without prior notice.

4. Guarantees

By creating an account on our website and using the Service you hereby guarantee that, you will:

You acknowledge that Algoritmik uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and other technology required to operate the Service.

You are responsible for safeguarding the password or API key or any other access method that you use to access the Service and for any activities or actions under your password. You shall notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Algoritmik hereby reserves the right to terminate your Subscription, delete your account and hold you liable for any and all damage caused to Algoritmik, its affiliates, employees, contractors, directors in case of violation of the abovementioned guarantees.

5. Intellectual property rights

You hereby agree and acknowledge that Algoritmik has authorized your usage of the Service, whereby Algoritmik retains full ownership or proprietorship of all rights, titles and interests to the Service, the Service design, technology behind the Service and documentation related to the Service, and all intellectual property rights pertaining to the Service and its technology (including, but not limited to, all patent rights, design rights, copyrights, model rights and trade secrets). By accessing this website and using the Service, you agree not to:

Algoritmik hereby grants you permission to offer the Service integrated into your products or services to your clients. Should you have any inquiries related to such permitted usage, please contact us on our email info@typless.com for a more detailed explanation.

You hereby grant Algoritmik the right to use your company name, company logo in marketing, sales, financial, and public relations materials and other communications to identify you as Algoritmik’s customer. Mutatis mutandis, Algoritmik hereby grants you the right to use Algoritmik’s product name Typless and Typless logo to identify Algoritmik as a provider of the Service to you.

6. Indemnification

You hereby acknowledge and agree to hold harmless, indemnify and defend Algoritmik and its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns, from and against any and all claims, liabilities, damages, obligations, losses, judgments, awards, costs or debt, and expenses of any kind (including but not limited to attorney’s fees, court and notary fees), resulting from or arising out of (a) your or any of your end-users’ breach of these Terms; (b) your or your end-users’ use and access of the Service or any activities under these Terms.

7. Limitation of liability and disclaimer

In no event shall Algoritmik, nor its officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns, be liable for any direct, indirect, incidental, special, consequential or punitive damages, including but not limited to, any loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not Algoritmik has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

You acknowledge that you use the Service at your sole risk and your sole discretion. The Service is provided on an “as is” and “as available” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, access, accuracy, fitness for a particular purpose, non-infringement, or course of performance.

Algoritmik, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns do not warrant that (a) the Service will be available 24/7, (b) the Service will be available at any particular time or location; (c) the Service will operate without malfunctions and securely; (d) any errors or defects will be corrected; (e) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Algoritmik ne daje nikakršnih zagotovil v zvezi s pravilnostjo zajetih podatkov in/ali stopnjo natančnosti ali točnosti. Poleg tega družba Algoritmik ne jamči in ni na noben način odgovorna zaradi nerazpoložljivosti ali motenj v delovanju storitve.

Kljub temu Algoritmik nikoli ne bo odgovoren vam ali kateri koli drugi osebi za kakršno koli izgubo ali škodo (med drugim tudi za neposredno ali posredno, naključno, posledično, kazensko ali vzorčno izgubo ali škodo), ki izhaja iz vaše uporabe storitve, teh pogojev, njene vsebine in njene veljavnosti ali je z njo povezana, vključno z, vendar ne omejeno na telesno poškodbo, izgubo podatkov, poslovanja, trgov, prihrankov, dohodka, dobička, uporabe, proizvodnje, dobrega imena ali gospodarske izgube, na podlagi katere koli teorije odgovornosti (pogodbene, prekrškovne, objektivne odgovornosti ali katere koli druge teorije ali zakona), ne glede na kakršno koli malomarnost ali drugo krivdo ali nepravilno ravnanje (med drugim vključno z veliko malomarnostjo in temeljno kršitvijo) družbe Algoritmik ali katere koli osebe, za katero je Algoritmik odgovoren, in tudi če je bil Algoritmik opozorjen na ali seznanjen z možnostjo nastanka take izgube ali škode.

8. Termination

Algoritmik si pridržuje pravico do prekinitve ali preklica vašega računa brez predhodnega obvestila ali odgovornosti Algoritmika iz kakršnega koli razloga. Ko bo vaš račun začasno ali trajno prekinjen, storitve ne boste mogli uporabljati.

All the provisions contained in this Terms survive the termination, including, but not limited to, the provision on the ownership rights, indemnification, limitation of liability, guarantees.

9. Governing law and jurisdiction

Ti Pogoji se urejajo in razlagajo v skladu z zakoni Slovenije, ne glede na njihove kolizijske določbe.

Vsi spori, ki izhajajo iz vaše uporabe storitve ali teh Pogojev ali so z njimi povezani, se rešujejo sporazumno. Če sporazumna rešitev ni mogoča, je za spor pristojno sodišče v Ljubljani.

10. Waiver of rights

Če ne uveljavljamo katere koli pravice ali določbe teh Pogojev, se to nikakor ne šteje kot odpoved tem pravicam ali določbam.

11. Changes and updates

Algoritmik si kot edini lastnik in posestnik Typlessa in vseh Storitev, povezanih z njim, pridržuje pravico, da te Pogoje občasno spremeni brez predhodnega obvestila. Posodobljeni Pogoji začnejo veljati, ko so objavljeni na tem spletnem mestu.

Vaša odgovornost je, da te Pogoje redno pregledujete. Vaša nadaljnja uporaba storitve se šteje kot vaše strinjanje s posodobljenimi Pogoji.

12. Final provisions

If any provision of these Terms is held to be invalid or unenforceable by a court or other competent authority, the remaining provisions of these Terms will remain in full force and effect.

These Terms constitute the entire agreement between Algoritmik regarding our Service.

Privacy policy of the service

This Privacy Policy constitutes part of this Terms and is binding to you. Please carefully read this privacy policy before using the Service.

1. Your data

We will gather and process the information you provide us at registration to provide you the Service. By subscribing, you give Algoritmik the right to use your information to contact you for whatever reasons related to the usage of the Service.

We process your personal data in accordance with the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (“GDPR”) and applicable legislation in the field of personal data protection (Slovenian Personal Data Protection Act (“ZVOP-1”, Official Gazette RS, no. 94/07 as amended) and other applicable legislation, which gives us the legal base for the processing of personal data.

We store your data in the cloud in the European Union. For any inquiries or requests, please contact us on our email info@typless.com.

In accordance with the GDPR, you may require from Algoritmik the information on your data, portability, rectification or erasure, and limitation of processing.

You have the right to lodge a complaint with the Slovenian Data Protection Authority.

2. Uploaded documents

The invoices or other documents you upload using the Service will be processed in a way to provide your data by using Typless invoice data extraction. For data extraction, Typless uses algorithms and other methods of artificial intelligence.

The extracted data from the invoices, uploaded invoices as a whole or other documents will be gathered and used for development and learning of the algorithms used by Typless to pursue higher accuracy or develop new recognition systems, methods, or related products. We will store the gathered data for an unlimited period of time. You may, at any time, delete all the uploaded invoices (or other documents) by deleting the data in your online management API portal or by sending a request to info@typless.com. Note that by deleting the data, all uploaded documents will be deleted and not accessible anymore to you or Algoritmik. According to GDPR, such data processing is based on Algoritmik’s legitimate interests.

3. Processing purposes and legal basis for the processing

Algoritmik collects and processes your personal data based on the following legal basis (Article 6 of the GDPR):

the data subject has given consent to the processing of his or her personal data for one or more specific purposes;
processing is necessary for the performance of a contract to which the data subject is party or in order to take steps at the request of the data subject prior to entering into a contract;
processing is necessary for compliance with a legal obligation to which the controller is subject;
processing is necessary in order to protect the vital interests of the data subject or of another natural person;
processing is necessary for the performance of a task carried out in the public interest or in the exercise of official authority vested in the controller;
processing is necessary for the purposes of the legitimate interests pursued by the controller or by a third party.

4. Security of data

Data security is one of our top priorities. Algoritmik takes all the industry-standard measures to guarantee that the received data is safe. All our contractors and employees have signed non-disclosure agreements. When Algoritmik transmits data, it uses encrypted communication channels. Algoritmik restricts access and following access management protocols based on the need-to-know principle.

We use the biggest and most reputable companies that offer cloud storing and processing solutions such as Google, Amazon AWS (Amazon) and Microsoft Azure.

5. Your obligations

You must arrange all consents and approvals that are necessary for Algoritmik to access the data you provide to Algoritmik using the Service or registering at our website. You hereby acknowledge and agree that to the extent data contains personal information, in collecting, holding and processing that information through the Service, you must obtain all necessary consents from the relevant individual to enable Algoritmik to collect, use, hold and process that information in accordance with these Terms before you start using the Service.

If you want us to process documents of which you are not the owner or direct participant (e.g., invoices of third parties), make sure that you are entitled to transmit the documents to Algoritmik and, if applicable, ask for the consent of the participating persons with this processing. The consent should cover the transmission of data to Algoritmik for the data-extraction as well as for artificial intelligence learning purposes. Please note that consent under the GDPR must comply with quite strict requirements (Article of the GDPR).
